Job Description: 

The Sr. Tax Manager, M&A Integration and Tax Planning will support tax workstreams associated with the integration of acquired businesses, with an immediate focus on integrating Indicor into AMETEK's global tax structure. This role is responsible for ASC 740 oversight related to acquisition accounting and post-acquisition tax reporting, legal entity rationalization initiatives, tax planning and restructuring projects, and coordination of tax integration activities across Finance, Legal, Treasury, Accounting, and business leadership teams. The individual will play a key role in supporting and implementing tax-efficient structures, supporting operational integration efforts, and ensuring compliance with applicable U.S. and international tax requirements.

 

Position Responsibilities:

Responsibilities include, but are not limited to, the following:

  • Lead tax integration activities associated with acquisitions, with primary responsibility for the ongoing integration of Indicor into AMETEK's global tax structure.
  • Manage and coordinate tax-related integration workstreams, including legal entity alignment, intellectual property ownership considerations, intercompany arrangements, transfer pricing implementation, and operating model changes.
  • Oversee ASC 740 tax accounting considerations arising from acquisitions and integration initiatives, including purchase accounting, deferred tax analyses, uncertain tax positions, valuation allowance assessments, and quarterly reporting requirements.
  • Partner with Corporate Accounting to support acquisition accounting under ASC 805 and ensure timely incorporation of tax impacts into financial reporting.
  • Identify and execute legal entity rationalization opportunities to simplify organizational structures, reduce compliance burdens, eliminate dormant entities, and improve tax efficiency.
  • Support domestic and international tax planning initiatives associated with restructuring projects, supply chain changes, financing transactions, legal entity reorganizations, and cash repatriation strategies.
  • Develop and implement tax-efficient structures related to the integration of acquired businesses while maintaining compliance with applicable U.S. and foreign tax laws.
  • Coordinate with Legal, Treasury, Corporate Development, Accounting, Human Resources, and business leadership to support integration milestones and strategic objectives.
  • Support tax due diligence efforts, integration planning, and post-close execution activities for future acquisitions.
  • Evaluate the tax consequences of business reorganizations, merger transactions, entity eliminations, and intercompany restructuring activities.
  • Collaborate with transfer pricing resources to ensure appropriate implementation and documentation of post-acquisition operating models.
  • Assist in the development of Pillar Two, GILTI, Subpart F, foreign tax credit, withholding tax, and transfer pricing strategies associated with acquired businesses.
  • Ensure maintenance of effective internal controls and SOX compliance for tax processes impacted by acquisition and integration activities.
  • Support federal, state, local, and international tax audits related to acquired entities and integration structures.
  • Develop strong relationships with business leaders to identify tax opportunities and proactively address integration risks.
  • Provide leadership, development, and supervision to assigned staff, as applicable.
  • Perform other duties as assigned.

 

Education / Experience:

  • Bachelor's degree in Accounting, Finance, or related field required.
  • Master's degree in Taxation, JD, CPA, or equivalent advanced tax credential preferred.
  • 8-12+ years of tax experience in a Big Four accounting firm and/or large multinational corporation.
  • Strong ASC 740 experience required.
  • Significant experience with acquisition integration, legal entity restructuring, and tax planning projects preferred.
  • Experience supporting M&A transactions, due diligence, purchase accounting, and post-acquisition integration activities.
  • Working knowledge of U.S. international tax provisions, including GILTI, Subpart F, foreign tax credits, and transfer pricing concepts.
  • Experience managing cross-functional projects with multiple stakeholders and competing priorities.

 

Other Skills and Abilities:

  • Knowledge and experience with HFM, Hyperion Smart View, and ONESOURCE Tax platform, including Tax Provision and Dataflow, is strongly desired.
  • Demonstrated ability to lead complex integration and restructuring projects across multiple jurisdictions.
  • Strong project management and organizational skills with the ability to manage multiple integration workstreams simultaneously.
  • Demonstrated ability and willingness to use AI tools to improve productivity, decision-marking, work quality, and to reduce costs.  The successful candidate must be able to identify appropriate AI use cases and critically evaluate AI-generated outputs.
  • Ability to influence stakeholders across Finance, Legal, Treasury, Accounting, Corporate Development, and business operations.
  • Strategic thinker with strong business acumen and ability to identify tax planning opportunities.
  • Experience analyzing and implementing legal entity simplification initiatives.
